This Refund & Cancellation Policy (“Policy”) applies to all software development services, digital products, subscription services, and related deliverables (“Services”) provided by Dubcons Limited, a company incorporated in Hong Kong (“Company”, “we”, “us”, or “our”).

By purchasing or using our Services, you agree to this Policy.

2. Scope of the Policy

This Policy governs refunds and cancellations for the following:

• Custom software development and engineering services

• SaaS (Software-as-a-Service) or platform-based subscriptions

• IT consulting and technical implementation

• Maintenance, support, or hosting packages

• Digital products, deliverables, integrations, source code, and documentation

• Any other Services provided through dubconsco.com

This Policy does not apply to third-party tools, cloud infrastructure, or licensed software provided by other vendors.

3. Refund Policy

3.1 Custom Software Development (Project-Based Work)

All payments made for project-based software development work (including deposits, milestone payments, and retainers) are non-refundable, due to the allocation of engineering time, planning, and resources.

Refunds may be issued only in the following limited situations:

• If Dubcons Limited does not commence work within 10 business days after confirming payment; or

• If Dubcons Limited voluntarily terminates the project for reasons not related to the client.

In such cases, refunds will be limited strictly to work not yet initiated.

3.2 Digital Deliverables

All digital deliverables — including software code, documentation, integrations, prototypes, user interfaces, or other project materials — are subject to the same terms as 3.1

3.3 Retainers & Deposits

All retainers, down payments, or deposits made to secure engineering resources or project slots are non-refundable.

3.4 Subscription & Recurring SaaS Services

For subscriptions to SaaS or platform-based services:

• Fees already paid for the current billing cycle are non-refundable.

• No partial refunds are granted for unused time or features.

• Clients may cancel future billing cycles at any time (see Section 4).

3.5 Additional Refund Discretion

Dubcons Limited may, at its sole discretion, consider refund requests in exceptional circumstances. This is not guaranteed and will be evaluated case-by-case.

4. Cancellation Policy

4.1 Client-Initiated Cancellation

Cancellations must be submitted in writing to:

info@dubconsco.com

A cancellation becomes effective once confirmed in writing by Dubcons Limited.

4.2 Subscription Services

Clients may cancel a subscription at any time. The cancellation will apply to the next billing period.

No refunds are issued for the current billing period.

4.3 Project-Based Work

If a client cancels a software development project already in progress:

• All payments made are non-refundable.

• The client is responsible for paying for all work completed up to the date of cancellation.

• Completed work will be delivered only after all outstanding amounts have been fully settled.

4.4 Company-Initiated Cancellation

Dubcons Limited may suspend or terminate Services for:

• Non-payment or chargebacks

• Violations of our Terms of Service or applicable laws

• Misuse, abuse, or non-cooperation

• Regulatory or compliance concerns

Refunds in these cases follow the rules outlined in Section 3.

5. Delivery of Services

All Services are delivered digitally. Delivery timelines depend on project scope, resource availability, and the client’s timely cooperation.

Delays caused by the client (e.g., missing approvals, missing information, changes in scope) do not constitute grounds for cancellation or refund.

 

6. Chargebacks & Dispute Resolution

Clients agree to contact Dubcons Limited at info@dubconsco.com to attempt to resolve any billing concerns before initiating a chargeback or external dispute.

Unwarranted or bad-faith chargebacks may result in:

• Suspension of all active Services

• Late payment or administrative fees

• Legal recovery of outstanding amounts and associated costs

 

7. Modifications to This Policy

Dubcons Limited may update or modify this Policy at any time to meet legal, business, or regulatory requirements. The most current version will always be available at dubconsco.com.

 

8. Governing Law

This Policy shall be governed by and interpreted in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR).

 

9. Arbitration – HKIAC

Any dispute, controversy, or claim arising out of or relating to this Policy, including its existence, validity, interpretation, performance, breach, or termination, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC).

• The arbitration shall be conducted in English.

• The seat of arbitration shall be Hong Kong.

• The HKIAC Administered Arbitration Rules in force at the time of the arbitration shall apply.

• The decision of the tribunal shall be final and binding on both parties.

 

10. Jurisdiction

Subject to the arbitration clause above, any non-arbitrable matters shall fall under the exclusive jurisdiction of the courts of Hong Kong SAR.

4. Service Engagement and Delivery

4.1 Software Development Projects

Work begins after:

1. Written acceptance of the proposal or quote, and

2. Payment of the required deposit or retainer.

Project timelines depend on client responsiveness, approvals, and scope changes.

4.2 SaaS & Subscription Services

Subscription access is provided once payment is confirmed. Subscriptions renew automatically unless canceled.

 

5. Fees & Payments

All fees:

• Must be paid in the currency specified in the invoice

• Must be paid before work begins (unless otherwise agreed)

• Are  subject to our Refund & Cancellation Policy

 

6. Intellectual Property Rights

6.1 Ownership of Materials

Unless otherwise agreed in writing:

• Dubcons Limited retains ownership of all source code, tools, frameworks, methodologies, and internal libraries.

• Final deliverables become the Client’s property only after full payment is received.

6.2 Licensing

SaaS access is licensed, not sold. You receive a non-exclusive, non-transferable license to use the platform.

 

7. Confidentiality

Both parties agree to protect all confidential and proprietary information shared during the engagement.

Confidential information may not be disclosed unless required by law.

 

8. Limitation of Liability

To the fullest extent permitted by law:

• Dubcons Limited is not liable for indirect, incidental, special, or consequential damages.

• Total liability for any claim shall not exceed the amount paid by the Client for the specific Service giving rise to the claim.

• Services are provided “as-is” without warranties of any kind.

 

9. Indemnification

You agree to indemnify and hold harmless Dubcons Limited from any claims, damages, liabilities, or expenses arising from:

• Misuse of our Services

• Violation of these Terms

• Infringement of intellectual property rights

• Illegal or fraudulent activities

 

10. Modifications

We may update these Terms at any time. Continued use after changes constitutes acceptance of the updated Terms.

 

11. Governing Law

These Terms shall be governed by the laws of the Hong Kong Special Administrative Region (HKSAR).

 

12. Arbitration – HKIAC

Any dispute arising out of or relating to these Terms shall be finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC).

13. Jurisdiction
